1. Acceptance of these Terms

These Terms & Conditions govern your access to and use of websites, applications, features, and services provided by TripMaxx LLC, including TripMaXX. By creating an account, connecting a travel-related account, purchasing a subscription, or using the service, you agree to these Terms.

If you use TripMaXX for an organization, you represent that you have authority to accept these Terms on behalf of that organization.

2. What TripMaXX does

TripMaXX is trip monitoring and recommendation software. The service may help you identify travel-related risks, monitor itinerary details, organize trip context, and view suggested recovery options when disruptions occur.

TripMaxx LLC does not book flights, hotels, rental cars, rides, lounges, parking, or other travel products. We do not issue tickets, hold reservations, guarantee availability, set provider prices, or act as an airline, hotel, ground transportation provider, travel agency, or travel seller.

3. Accounts and connected services

You are responsible for keeping your account information accurate and for maintaining the confidentiality of your login credentials. You are also responsible for activity that occurs through your account.

If you connect email, calendar, travel, payment, or other third-party services, you authorize TripMaXX to access and process the information those services make available to us for the purpose of providing the service. You can disconnect supported integrations through the product or the third-party provider.

4. Your responsibilities

• Use the service only for lawful purposes and in accordance with these Terms.
• Provide accurate information when using trip monitoring, preferences, billing, support, or account features.
• Independently verify time-sensitive travel information, provider rules, prices, availability, and safety conditions before making travel decisions.
• Do not misuse the service, interfere with its operation, reverse engineer it, scrape it, or use it to violate the rights of others.

5. Recommendations and alerts

TripMaXX recommendations, alerts, scores, and summaries are informational. They may be based on third-party data, connected account content, automated analysis, and user-provided information. Travel conditions can change quickly and data may be delayed, incomplete, or inaccurate.

You remain responsible for travel decisions, including whether to contact an airline, hotel, employer, travel manager, or other provider. TripMaxx LLC does not guarantee that any recommendation will prevent delays, cancellations, missed meetings, costs, losses, or inconvenience.

6. Subscriptions, billing, and cancellation

Paid plans, if offered, are billed through our payment processor and may renew automatically according to the plan details shown at checkout. Prices, taxes, billing cycles, plan features, and promotional offers may vary.

You can cancel a paid subscription through the product or by contacting us. Cancellation affects future billing and does not automatically refund amounts already paid unless required by law or expressly stated in the applicable offer.

7. Third-party services

The service may integrate with or link to third-party services such as email providers, calendar providers, analytics tools, payment processors, flight data providers, weather services, mapping services, airlines, hotels, and ground transportation providers. Third-party services are governed by their own terms and policies.

TripMaxx LLC is not responsible for third-party services, provider decisions, provider availability, provider pricing, provider errors, or changes to third-party APIs or data feeds.

8. Intellectual property

The service, including its software, design, text, graphics, logos, product names, workflows, and other content, is owned by TripMaxx LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, TripMaxx LLC grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended purpose.

You retain ownership of information you provide or connect to the service, but you grant TripMaxx LLC the rights needed to host, process, analyze, transmit, display, and otherwise use that information to provide, secure, maintain, and improve the service.

9. Disclaimers

The service is provided on an as-is and as-available basis. To the maximum extent permitted by law, TripMaxx LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

TripMaxx LLC does not warrant that the service will be uninterrupted, error-free, secure, current, or complete, or that travel data, alerts, recommendations, or integrations will always be accurate or available.

10. Limitation of liability

To the maximum extent permitted by law, TripMaxx LLC and its officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, travel disruption, or substitute travel costs.

To the maximum extent permitted by law, TripMaxx LLC's total liability for claims arising out of or relating to the service or these Terms will not exceed the amount you paid to TripMaxx LLC for the service during the three months before the event giving rise to the claim, or one hundred U.S. dollars if you did not pay for the service.

11. Indemnification

You agree to defend, indemnify, and hold harmless TripMaxx LLC from claims, damages, liabilities, losses, and expenses arising from your use of the service, your violation of these Terms, your connected content, or your violation of law or third-party rights.

12. Changes and termination

We may update the service or these Terms from time to time. If changes are material, we will take reasonable steps to provide notice. Continued use of the service after changes become effective means you accept the updated Terms.

We may suspend or terminate access to the service if we believe you have violated these Terms, created risk for the service or other users, or used the service unlawfully.

13. Governing law

These Terms are governed by the laws of the United States and the state of TripMaxx LLC's principal place of business, without regard to conflict-of-law rules, except where applicable law requires otherwise.
